Securities and Exchange Board of India proposes easing minimum public offer rules for very large companies to reduce initial public offerings stake dilution burden
- Securities and Exchange Board of India (SEBI), the capital markets regulator of India, has proposed relaxing minimum public offer (MPO) requirements for very large companies to ease their burden of diluting large stakes during initial public offerings (IPOs).
- It has decided to retain the retail quota at 35%, a reversal from its earlier proposal to reduce it to 25% for large IPOs, addressing issuer concerns by adjusting MPO thresholds instead.
- The new framework sets different MPO and minimum public shareholding (MPS) requirements based on a company’s market capitalization:
- For companies with a market cap between ₹50,000 crore and ₹1 lakh crore, the MPO is at least ₹1,000 crore and 8% of post-issue capital, with a five-year timeline to achieve the 25% MPS.
- For those valued between ₹1 lakh crore and ₹5 lakh crore, the MPO is ₹6,250 crore and at least 2.75% of post-issue capital.
- For companies valued at over ₹5 lakh crore, the MPO is ₹15,000 crore and at least 1% of post-issue capital, subject to a minimum dilution of 2.5%.
- This staggered approach aims to prevent an oversupply of shares at the time of listing, which could adversely affect share prices.
- Examples of companies that have had large IPOs include LIC and Hyundai Motor India.
Note :
- The MPS is the percentage of a company’s shares that must be held by the public (non-promoters).
- The general rule is to have at least 25% public shareholding.
- These proposed changes are meant to provide more flexibility for very large companies to meet this requirement over a longer period.

- Coal: Down by 12.3%, the second consecutive monthly decline.
- Crude Oil: Contracted by 1.3%.
- Natural Gas: Declined by 3.2%.
- Petroleum Refinery Products: Down by 1%.
- Conversely, steel and cement were the main drivers of growth, both witnessing double-digit growth.
- Steel: Grew by a strong 12.8%.
- Cement: Grew by 11.7%.
- Other industries with positive growth were fertilizers (2%) and electricity (0.5%).

India, Eurasian Economic Union Ink Terms of Reference to Launch Free Trade Agreement Talks
- India and the Eurasian Economic Union (EAEU) — a bloc of five countries: Armenia, Belarus, Kazakhstan, Kyrgyz Republic, and Russia — have signed Terms of Reference (ToR) to begin negotiations for a Free Trade Agreement (FTA).
- The signing took place in Moscow between Ajay Bhadoo (Additional Secretary, Department of Commerce, India) and Mikhail Cherekaev (Deputy Director, Trade Policy Department, Eurasian Economic Commission).
- The primary objective of the FTA is to boost exports, support Micro, Small and Medium Enterprises (MSMEs), and diversify market access for both sides.
- The trade turnover between India and the EAEU reached $69 billion in 2024, marking a 7% increase over the previous year.
- Both parties have expressed a commitment to the early conclusion of the FTA and the establishment of a long-term institutional framework for trade cooperation.
- The ToR provides a clear negotiation framework that is expected to unlock untapped trade potential, lead to increased investments, and forge a stronger India-EAEU economic partnership.
Afghanistan, China and Pakistan Agree on China-Pakistan Economic Corridor Expansion and Enhanced Cooperation at Kabul Talks
- The 6th Trilateral Foreign Ministers Dialogue was held in Kabul, attended by Pakistan Foreign Minister Ishaq Dar, Chinese Foreign Minister Wang Yi, and Afghanistan’s Acting Foreign Minister Amir Khan Muttaqi.
